Boeing has completed the sale of key parts of its Digital Aviation Solutions business, including Jeppesen, ForeFlight, AerData, and OzRunways, to investment firm Thoma Bravo. The all-cash transaction, valued at $10.55 billion, marks one of Boeing’s largest divestitures in recent years and represents a significant step in strengthening the company’s balance sheet and focusing on its core manufacturing and services operations.
The deal, originally announced in April 2025, has now been finalized following regulatory approval. Under the transaction, the divested assets will operate as Jeppesen ForeFlight, a new standalone company headquartered in Denver and San Francisco. The new company will be led by Brad Surak, former head of Boeing Digital Aviation Solutions.
“Backed by 90 years of Jeppesen’s experience and ForeFlight’s spirit of innovation, we are building the most unified and intuitive platform in aviation. Returning to independence with Thoma Bravo’s support allows us to innovate faster and grow stronger,” said Surak.
Thoma Bravo, which manages over $181 billion in assets, has acquired some of Boeing’s most recognized software and data units, further expanding its portfolio of industrial and vertical software businesses.
Boeing stated that the sale will help reduce debt and enable greater focus on its core activities — aircraft production and digital services related to fleet maintenance and operations. These remaining digital capabilities will continue under Boeing Global Services, led by Chris Raymond, President and CEO.
“This transaction allows each part of our digital portfolio to focus on its strengths. Our commitment to our customers remains steadfast as we continue developing core products and services to support their fleets,” said Raymond.
The newly formed Jeppesen ForeFlight will combine Jeppesen’s legacy in aeronautical data with ForeFlight’s digital flight-planning technology. The company will continue to serve commercial, business, military, and general aviation markets worldwide.
“We’re thrilled to support Jeppesen ForeFlight as an independent company with significant growth potential ahead. For more than 90 years, the brand has been a cornerstone of aviation, combining deep expertise with a culture of innovation,” said Holden Spaht, Managing Partner at Thoma Bravo.
Thoma Bravo plans to further expand Jeppesen ForeFlight’s capabilities through investments in artificial intelligence, integrated operations tools, and potential strategic acquisitions to accelerate its global growth.
Around 3,900 employees from Boeing’s Digital Aviation Solutions division will join the new company, with both sides emphasizing close coordination to ensure a smooth transition for employees and customers. The divestiture marks an important milestone in Boeing’s ongoing efforts to streamline its structure and regain investment-grade credit status. Financial impacts of the completed sale will be reflected in Boeing’s next quarterly results.
